1. General points
1.1 The present general conditions exclusively govern the contractual relations between Société de Recherche Industrielle (S.R.I), having its head office in France, at 8, Rue Christophe Colomb, 75008 Paris, recorded on the registry of legal entities, RCS Paris B 398 813 188 and the VAT registry under number FR 60 398 813 188(hereafter referred to as the “Company”), and all persons that consult the site www.isodisnatura.com or wish to purchase one of the products offered on this site (hereafter referred to as the “Client”).
 
1.2 By navigating on the site www.isodisnatura.com or ordering one of the products offered on this site, the Client agrees to be bound by the present conditions which apply to each offer, order and agreement between the Client and the Company, as well as any other operation required for their completion, to the exclusion of any other condition laid out by the Client, without written agreement from the Company.
 
1.3 The present conditions may be freely consulted on the Company's Internet site (www.isodisnatura.com).
 
1.4 The Company reserves the right to modify at any time the present conditions providing these changes appear on its Internet site.
 
1.5 If all or part of one or several measures should be declared non-valid, this non-validity shall not affect the other measures or parts of measures that shall remain fully applicable.
 
2. Orders
2.1 Orders may be placed in the following ways:
- directly via the site www.isodisnatura.com;
- by telephoning the Company's Customer Services department (see telephone numbers at the end of this document).
 
2.2 All orders placed suppose acceptance of prices and product descriptions.
 
2.3 Orders must be confirmed by the Company.
 
2.4. The Company reserves the right to refuse orders placed by Clients with whom there is a dispute. Moreover, the Company reserves the right to refuse orders and thus deliveries in certain countries outside the European Union, without having to justify its decision.
 
2.5 The Company undertakes to honour orders only within the limit of available product stock. In the event that the product ordered is not available, the Company undertakes to inform the Client as quickly as possible.
 
3. Price
3.1 All product prices (excluding transport) are given in euros and are valid only within the limits of available stock.
 
3.2. The costs of delivery of goods are payable by the Client. The mode of transport varies according to the weight of the order and the distance to the country of delivery. The transport costs applicable to the Client's order are given at the time the order is placed.
 
3.2 The prices given include French VAT applicable at June the 1st 2008 (i.e. 5,5%). If one or several rates are modified, whether upwards or downwards could impact on the product prices.
The invoice shall however be established excluding French VAT when products are to be delivered outside the European Union. The Client shall then be liable for the fees and taxes imposed by the country to which the product is delivered.
 
3.3 Any customs or import taxes are due as soon as the product arrives in its destination country. The Client shall pay any additional customs clearance taxes, and the Company has no control over these taxes nor can it foresee them, since customs policies vary greatly from one country to another. It is thus the responsibility of the Client to obtain information from the local customs office on the amount of taxes due.
 
 
4. Conditions of payment
4.1 Payment is due from the 8th business day starting on the day following the delivery of the product order. Payment may be made in either of the following ways:
- by bank card (issued by a bank with its head office in France or an international bank card).
In this case, the Client is asked to give the card number and expiration date at the end of the order.
The information given by the Client is verified to avoid fraud. The server is in encrypted mode and all information transmitted is coded (SSL protocol) so that no uncoded information passes through the network.
- by cheque (valid in France only) made payable to SRI – Ecommerce and sent to the address below :

In the event of payment by cheque, the order will be delivered to the Client only after receipt of the correctly made out cheque.
 
4.2 In the event of late payment, the Client shall be liable, ipso jure, and without prior formal notice, to lateness interest at a rate of 1.2% per month and €3.72 for each reminder. In the event of legal proceedings, the Client shall also be liable to fees of 15% calculated on the total amount due.
 
5. Delivery of orders
5.1. If no contrary indication is given, delivery is made to the address given by the Client when ordering.
If the Client is absent at the time of delivery, the products ordered shall be delivered to the Post office for the delivery address given by the Client at the time of ordering.
 
5.2. Except in exceptional circumstances or in the event that one or several items are temporarily unavailable, the items ordered shall be delivered in one batch.
 
5.3. The Company undertakes to deliver the products ordered as quickly as possible. For deliveries outside the European Union, delivery times vary depending on the weight of the order and the distance of the destination country. Any delivery times given are only approximate.
 
6. Property and transfer of risk
6.1 The products delivered to the Client remain the property of the Company until effective payment of the total amount due.
 
6.2 All risks in terms of damage, loss or theft are assumed by the Company up until the time of delivery to the Client. From this time, the risks are transferred to the Client.
 
7. Abandonment
7.1. The Client has the right to notify the Company that it wishes to abandon its purchase without penalties and without justification within a period of 7 business days maximum starting from the day following the delivery.
 
7.2. The products must then be returned, at the expense of the Client, in the original packaging, not opened and not soiled or damaged by the Client within a period of 7 business days starting from the day following the delivery to the following address:

7.3. Any amount already paid by the Client shall be re-credited to the Client's account within 7 business days following receipt by the Company of the returned goods.
 
8. Return and exchange of products
8.1 If, at the time of delivery, the product (i) does not correspond to the order, (ii) presents flaws (iii) is damaged, the Client may make a request for reimbursement or exchange within 7 business days starting from the day following the delivery, and the product must be in its original packaging with the reasons for return clearly indicated.

8.2 The product and the request for exchange or reimbursement must be sent, at the expense of the Client, along with a photocopy of the purchase invoice to the following address:

8.3. Products opened, damaged or soiled by the Client's doing shall never be reimbursed nor exchanged.

8.4 Any amount already paid by the Client shall be re-credited to the Client's account no later than 7 business days following the receipt by the Company of the returned products.

8.5 In the event of wrongful returns, the Company reserves the right to refuse future orders.
 
9. Personal information
9.1 Personal information entered on the site www.isodisnatura.com by the Client shall be processed by the Company, as responsible for processing. With the exception of information relating to credit cards, this information shall be recorded in the Company's database.
 
9.2 Personal information thus gathered shall be used to complete the Client's order.
It shall also be used to inform the Client of the Company's various offers. These offers shall be made by e-mail, telephone or mail.
 
9.3 The Client may, at any time, obtain access to his/her personal information recorded in the Company's databases, request correction of the information and oppose the use of this information for direct marketing purposes, by contacting the Company :

10. Liability
10.1 Regarding access to the site, the order process, the delivery of products and all subsequent services, the Company is bound only within the limits of due care.
 
10.2 The Company cannot be held liable in the event of full or partial non-execution of the contract when this is due in whole or in part to the actions of a third party, inventory shortages, strikes on the part of delivery services or in the event of force majeure.
 
10.3 The Company's liability may not be invoked in the event of damage or inconvenience inherent to the use of the Internet network, namely service interruption, outside intrusion, IT virus or any event due to force majeure.
 
10.4 The products offered are in compliance with the French legislation in force.
Photographs and texts copied and illustrating the products on offer are not contractually binding. As a result, the Company's liability cannot be invoked in the event of error in one of the photographs or texts.
 
11. Intellectual property
11.1 Intellectual property rights for the documents contained in the site and each of the elements created for this site are the exclusive property of the Company or its suppliers, since the Company and its suppliers grant no licence or right other than that of viewing the site.
 
11.2 The reproduction of any document appearing on the site is authorised solely for the exclusive purpose of personal or private use. Any reproduction or use for other purposes shall be considered an infringement, without explicit prior authorisation from the Company.
 
12. Language of the contract, applicable law and competent jurisdiction
12.1 The language applicable to contractual relations between the Client and the Company shall be French.
 
12.2 Contractual relations between the Client and the Company shall be governed by French law.
 
12.3 In the event of dispute between the Client and the Company, the courts of Paris shall be solely competent.
